These Terms of Service (“Terms”) govern your access to and use of Education Suite’s platform, services, and applications (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Education Suite, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the educational institution you represent. If you do not agree with these Terms, you may not use our Services.

2. Description of Services

Education Suite provides a cloud-based platform for K-12 educators and administrators to manage student documentation, including:

  • Individualized Education Program (IEP) tracking and management
  • Student incident report creation and tracking
  • Student profile and records management
  • AI-assisted documentation and writing tools
  • Progress analytics and reporting
  • Collaborative tools for educational teams

3. Account Registration

To use our Services, you must:

  • Create an account using valid credentials (including Google OAuth)
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account. Education Suite is not liable for losses arising from unauthorized use of your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services for any purpose other than legitimate educational documentation
  • Access student records without proper authorization
  • Share your account credentials with unauthorized individuals
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload malicious code, viruses, or harmful content
  • Use the Services to violate any applicable law or regulation, including FERPA
  • Reverse engineer, decompile, or disassemble any aspect of the Services

5. Data Ownership and Licensing

Your Data

You (or your educational institution) retain all ownership rights to the content and data you input into Education Suite, including student education records. We do not claim ownership of your data.

License to Us

By using our Services, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing and improving the Services. This license terminates when you delete your data or close your account.

AI-Generated Content

Content generated by our AI features is provided as a suggestion and tool for educators. You are responsible for reviewing, editing, and approving all AI-generated content before use. Education Suite does not guarantee the accuracy or appropriateness of AI-generated suggestions.

6. Student Data

When you enter student records into Education Suite, we agree to:

  • Use student data solely to provide the contracted service to your school
  • Not sell student data or share it with third parties for their own purposes
  • Not use student data for advertising or marketing
  • Maintain appropriate security measures to protect student records
  • Return or delete student data upon termination of services

7. Subscription and Payment

Access to Education Suite may require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected plan
  • Provide valid payment information
  • Accept automatic renewal at the then-current rate unless cancelled before the renewal date

We reserve the right to modify pricing with 30 days’ advance notice. Refunds are provided in accordance with our refund policy or as required by law.

8. Service Availability

We strive to maintain 99.99% uptime but do not guarantee uninterrupted access. We may temporarily suspend the Services for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned downtime when possible.

9. Intellectual Property

The Services, including all software, design, text, graphics, and other content created by Education Suite, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDUCATION SUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold Education Suite harmless from any claims, damages, or expenses arising from your violation of these Terms, misuse of the Services, or violation of any law or third-party rights.

12. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your access to the Services will be revoked
  • We will retain your data for 60 days to allow for export
  • After 60 days, your data will be permanently deleted unless otherwise required by law
  • Student data will be deleted or returned in accordance with our data processing agreement

13. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
